Welcome to Turn.CEO ("Website") and the Captivate platform ("Platform"), operated by Turn.CEO LLC ("Company," "we," "us," or "our"), a Nevada limited liability company. By accessing or using our website, services, or platforms, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use our services.

1. Definitions

• "Account" means the user account created to access Captivate or other Turn.CEO services.
• "Business Profile" means a distinct business entity configured within your Account.
• "Data Sources" means third-party integrations connected to Captivate (e.g., HubSpot, Stripe, QuickBooks, Meta, Google).
• "Content" means any data, text, files, or materials uploaded, imported, or generated through our services.
• "Team Members" means additional users invited to access a Business Profile under your Account.

2. Eligibility & Account Registration

You must be at least 18 years of age and have the legal authority to bind the business entity you represent. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account.

Each Account holder ("Owner") may invite Team Members. The Owner is responsible for the actions of all Team Members and for managing their access and permissions.

3. Plans, Pricing & Billing

Captivate offers Free and paid subscription plans ("Pro Plans"). Pricing is published on our website and may change with 30 days' written notice. Existing subscribers on a price-locked plan will retain their locked rate for the duration specified.

• Free Plan: Limited features, 1 business, 1 user seat, up to 3 data sources.
• Pro Plans: Include up to 3 businesses and 3 team members per business. Additional seats and businesses are available as paid add-ons.
• Agency Plan: Custom pricing by consultation for organizations managing 4 or more businesses.
• Beta Price Lock: Beta testers who subscribe during the beta period receive a 3-year rate lock as described on the pricing page.

Paid subscriptions are billed monthly or annually as selected. All fees are non-refundable except as required by applicable law. We may offer prorated billing for mid-cycle changes.

4. Multi-Business Accounts

Pro Plan subscribers may create up to 3 Business Profiles per Account. Each Business Profile operates independently with its own team members, data source connections, dashboards, and performance scores. The Account Owner is responsible for all Business Profiles under their Account.

Additional Business Profiles beyond 3 are available as a paid add-on or through the Agency Plan.

5. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to our services, other accounts, or connected systems.
• Reverse-engineer, decompile, or disassemble any part of our services.
• Resell, sublicense, or redistribute access to our services without written authorization.
• Upload malicious code, viruses, or any content designed to disrupt our services.
• Use automated tools to scrape, crawl, or extract data from our services beyond what is provided via authorized APIs.

6. Data Ownership & Privacy

You retain ownership of all data you upload or connect to our services ("Your Data"). We do not sell Your Data to third parties. Our use of Your Data is governed by our Privacy Policy.

When you connect third-party Data Sources, you authorize Captivate to retrieve and display data from those services on your behalf. You are responsible for ensuring you have the right to share that data with our services.

7. SMS/Text Messaging Communications

Turn.CEO may offer SMS/text messaging communications to users who opt in through our website or other channels. By providing your phone number and checking the SMS consent checkbox, you expressly consent to receive text messages from Turn.CEO LLC at the number provided.

a. Scope of SMS Communications

Text messages may include appointment confirmations, consultation reminders, service updates, and responses to your inquiries. Messages are sent from (725) 777-5383.

b. Consent

Your consent to receive SMS messages is voluntary and is not required as a condition of purchasing any goods or services. You may opt in or opt out at any time.

c. Opt-Out

You may opt out at any time by replying STOP to any text message from Turn.CEO. You will receive a single confirmation message acknowledging your opt-out request. No further messages will be sent unless you re-subscribe.

d. Help

e. Message Frequency and Rates

Message frequency varies. You will not receive more than 5 messages per month unless you initiate a conversation. Message and data rates may apply based on your mobile carrier plan. Turn.CEO does not charge for sending SMS messages.

f. Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages. SMS messaging service availability may vary by carrier.

g. Privacy

Your phone number and SMS consent information will not be shared with third parties or affiliates for marketing purposes. See our Privacy Policy for full details on how we handle your information.

8. Artificial Intelligence Disclosure

Captivate uses artificial intelligence ("AI") and machine learning technologies to provide certain features, including but not limited to:

• Business Performance Scores: Composite scores and category ratings are calculated using algorithmic models that analyze your connected data sources. These scores are generated outputs, not certified audits or assessments.
• Insights & Recommendations: The Platform may generate actionable suggestions, trend analyses, and performance interpretations using AI models. These are informational recommendations, not professional advice.
• Data Summarization: AI may be used to summarize, aggregate, or interpret data from connected sources for display in dashboards and reports.
• Content Generation: Certain features may produce AI-generated text, including report summaries and coaching notes.

Important limitations:

• AI-generated insights, scores, recommendations, and content are provided for informational purposes only and should not be relied upon as financial, legal, tax, or professional advice.
• AI outputs may contain inaccuracies, outdated information, or errors. You are responsible for independently verifying any AI-generated information before making business decisions.
• AI models may be updated or changed without notice, which could affect scores, recommendations, and other generated outputs.
• Your data may be processed by AI systems to generate insights, but is not used to train general-purpose AI models. See our Privacy Policy for details on data handling.

By using features that incorporate AI, you acknowledge and accept these limitations. Captivate and Turn.CEO are not liable for decisions made based on AI-generated content.

9. Intellectual Property

Our services, including design, code, algorithms, branding, documentation, and all associated intellectual property, are owned by Turn.CEO LLC. You are granted a limited, non-exclusive, non-transferable license to use our services for their intended purpose during your subscription.

10. Third-Party Integrations

Captivate connects to third-party services (HubSpot, Stripe, QuickBooks, Xero, Meta, Google, etc.). We are not responsible for the availability, accuracy, or terms of service of these third-party platforms. Your use of third-party integrations is subject to their respective terms.

11. Service Availability & Disclaimers

Our services are provided "as is" and "as available." We do not guarantee uninterrupted or error-free service. We reserve the right to perform maintenance, updates, and modifications that may temporarily affect availability.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Turn.CEO LLC, its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or relating to your use of our services.

Our total aggregate liability for any claim arising from these Terms or your use of our services shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Turn.CEO LLC, its founders, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third party's rights.

14. Termination

You may cancel your subscription at any time through your Account settings. We may suspend or terminate your access if you violate these Terms or engage in conduct that is harmful to our services or other users.

Upon termination, your right to access our services ceases. We may retain Your Data for a reasonable period to comply with legal obligations, but are not obligated to do so.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website at least 14 days before they take effect. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in Clark County, Nevada, under the rules of the American Arbitration Association, except where prohibited by law.
